These Terms & Conditions ("Terms") form a binding agreement between you ("Merchant", "you") and DuitQ ("we", "us") governing your access to and use of the DuitQ stablecoin QR payment service ("the Service"). By creating an account, generating an invoice, or accepting payments, you confirm that you have read, understood and agree to these Terms.
1. Acceptance of these Terms
By registering for or using the Service you accept these Terms and our Privacy Policy. If you use the Service on behalf of a business, you represent that you are authorised to bind that business. If you do not agree, do not use the Service.
2. Definitions
"Merchant" is a business or individual accepting payments. "Payer" is the customer making a payment. "Invoice" is a payment request encoded as a Solana Pay QR. "Credits" are the prepaid units consumed for platform usage. "Settlement wallet" is the Solana wallet you nominate to receive funds.
3. Eligibility & verification
You must be of legal age and capable of forming a binding contract in your jurisdiction. We may require identity or business verification (KYC), WhatsApp verification, and wallet sanction screening before or during use, and may refuse, limit or revoke access where verification fails or risk is detected.
4. The Service (non-custodial)
The Service lets Merchants accept stablecoin (USDC/USDT) payments on the Solana network using the open Solana Pay standard. For merchant sales the Service is non-custodial: funds move directly from the Payer to your settlement wallet and never pass through us. We are a software and facilitation provider, not a bank, money transmitter, custodian, or exchange.
5. Accounts, API keys & security
You are responsible for the accuracy of your settlement wallet, for all activity under your account, and for keeping your API keys, callback secrets, and login credentials confidential. Notify us promptly of any suspected compromise. We are not liable for losses arising from your failure to secure these credentials.
6. Credits & billing
Platform usage is billed in prepaid Credits, not as a percentage of your sales: creating an invoice consumes 1 Credit and a paid invoice consumes 2 in total. New accounts may receive a free Credit allotment. Credits are purchased in packs at the price shown at checkout, paid on-chain to a platform wallet, and granted automatically once the payment confirms. Credits are non-refundable and have no cash value except as required by law.
7. Fees & taxes
The Solana network fee (typically under $0.001) is paid by the Payer. Credit pricing is disclosed before purchase and may be revised with reasonable notice. You are solely responsible for determining, collecting, reporting and remitting any taxes arising from your transactions.
8. Acceptable use & compliance
You may not use the Service for unlawful activity, fraud, money laundering, terrorist financing, sanctioned persons or jurisdictions, the sale of prohibited goods or services, or any purpose prohibited by applicable law. You must comply with all laws and regulations applicable to your business, including AML/CFT and consumer-protection rules.
9. Payments, finality & refunds
On-chain payments are irreversible and final once confirmed. Any refund is handled off-protocol directly between Merchant and Payer; we do not reverse settled transactions. Duplicate or anomalous payments may be flagged for manual review. You are responsible for your own refund, dispute and customer-service policies.
10. Intellectual property
The Service, including its software, design, trademarks and content, is owned by us or our licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, modify, resell, reverse-engineer or create derivative works except as permitted by law.
11. Disclaimers & limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind. We do not control the Solana network, RPC providers, wallets or third parties and are not responsible for their availability, fees, forks, congestion or failures. To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, funds or data; our aggregate liability is limited to the Credit fees you paid in the three months preceding the claim.
12. Suspension, termination, changes & governing law
We may suspend or terminate access for breach of these Terms, legal risk, or suspected abuse. You may stop using the Service at any time. We may update these Terms; material changes will be notified and continued use constitutes acceptance. These Terms are governed by the laws of the Republic of Indonesia, and disputes are subject to the exclusive jurisdiction of the competent courts of Indonesia, without prejudice to mandatory consumer rights.
